Terms and Conditions

These Terms and Conditions (Terms) govern your access to and use of the services offered by AJOPAK SOLUTIONS (doing business as AjoPak) (we, us, or our), including our public marketing website and consumer mobile applications for iOS and Android (Services). We do not offer a customer-facing web application as part of these Terms.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. If a change is material, we may provide additional notice where appropriate (for example, in-app or by email). Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree, stop using the Services.

3. The Services

AjoPak provides software to help trusted groups coordinate savings circles: for example, visibility into membership, schedules, contributions, and payout order. We are not a bank, money transmitter, or custodian of your funds in that capacity, unless we separately offer regulated products and update these Terms. We do not provide legal, financial, or tax advice.

Your group's rules and agreements govern how your circle operates, including payout order, contribution expectations, and dispute handling among members. The Services reflect information and settings your group provides; we do not replace trust, communication, or enforcement between members.

We may update, suspend, or discontinue features of the Services. We do not guarantee uninterrupted or error-free operation.

4. Accounts and authentication

You may need to create an account to use certain features. You agree to provide accurate information and keep it current. You are responsible for safeguarding your credentials and for activity under your account.

If we offer sign-in with Google or Appleon our mobile apps, your use of those features is also subject to the applicable provider's terms and privacy policy.

5. Acceptable use

You agree not to:

Use the Services in violation of applicable law or regulation;
Attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
Interfere with or disrupt the Services or servers or networks connected to the Services;
Use the Services to harass, abuse, defraud, or harm others;
Reverse engineer, decompile, or disassemble the Services except where prohibited by law;
Use automated means to access the Services in a way that imposes an unreasonable load or bypasses restrictions we set; or
Use the Services to distribute malware or unlawful content.

We may suspend or terminate access if we believe you have violated these Terms or pose a risk to the Services or other users.

6. Intellectual property

The Services, including software, branding, text, graphics, and other content we provide, are owned by us or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use in connection with savings circles, unless we agree otherwise in writing.

You retain ownership of content you submit. You grant us a license to host, use, process, and display that content as needed to provide and improve the Services, consistent with our Privacy Policy.

7. Third-party services

The Services may integrate with or link to third-party services (for example, authentication providers). Those services are governed by their own terms. We are not responsible for third-party services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE"WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), IF YOU HAVE NOT PAID US ANYTHING.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN THOSE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnity

You will defend, indemnify, and hold harmless AJOPAK SOLUTIONS, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your content, or your violation of these Terms or applicable law.

11. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for other operational or legal reasons.

Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canadaapplicable therein, without regard to conflict-of-law principles that would require applying another jurisdiction's laws.

Subject to applicable law, you agree that the courts located in Toronto, Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of those courts.

13. General

These Terms constitute the entire agreement between you and us regarding the Services and supersede prior agreements on the same subject. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
